The specific deliverables, timelines, and scope for each project are agreed upon in writing before work commences, either through a proposal, service agreement, or order confirmation.
4. Pricing and Payment
All prices displayed on our website are in USD unless otherwise stated. Prices are subject to change without notice, though any changes will not affect orders already confirmed in writing.
Payment terms are as follows:
- For package purchases made through our website, full payment is required at the time of order.
- For bespoke or custom projects, a deposit (typically 50%) is required before work begins, with the remaining balance due upon completion or as agreed in writing.
- All payments are non-refundable unless otherwise stated in our Refund Policy or required by applicable law.
H Nicole Trade LLC reserves the right to suspend or withhold delivery of work if payment is not received on time.
5. Client Responsibilities
To allow us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information, content, and materials as required.
- Review and provide feedback within agreed timeframes.
- Ensure that any content, images, or materials you supply to us do not infringe any third-party intellectual property rights.
Delays caused by a failure to meet these responsibilities may affect delivery timelines, and H Nicole Trade LLC shall not be held liable for such delays.
6. Revisions and Scope
Unless otherwise agreed in writing, our service packages include a defined number of revision rounds. Work that falls outside the agreed scope will be quoted separately and billed accordingly.
7. Intellectual Property
Upon receipt of full payment, the client is granted full ownership of the final agreed deliverables (e.g., website design, logo files, written content produced specifically for the client). H Nicole Trade LLC retains the right to display completed work in its portfolio unless the client requests otherwise in writing.
Any tools, frameworks, third-party assets, or pre-existing intellectual property used in the delivery of your project remain the property of their respective owners and are governed by their own licensing terms.
8. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of the project and not to disclose it to third parties without prior written consent, except where required by law.
9. Limitation of Liability
To the fullest extent permitted by law, H Nicole Trade LLC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with our services, including but not limited to loss of revenue, loss of data, or loss of business opportunities.
Our total liability to you in connection with any project shall not exceed the total amount paid by you for that specific project.
10. Third-Party Services
Our services may involve the use of third-party platforms, tools, or software (e.g., WordPress, hosting providers, analytics tools). H Nicole Trade LLC is not responsible for the availability, performance, or terms of any third-party service.
11. Termination
Either party may terminate a project engagement with written notice. If the client terminates a project after work has commenced, any deposit paid is non-refundable. If H Nicole Trade LLC terminates an engagement without cause, any unused portion of payment will be refunded on a pro-rata basis.
12. Governing Law
These Terms and Conditions are governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts.
13. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. The most current version will always be published on our website. Continued use of our services after any changes constitutes acceptance of the revised terms.
